Please read these Terms and Conditions carefully before using the CybiSoft website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.

1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and CybiSoft Technologies ("CybiSoft," "we," "us," or "our"), operating from Belgaum, Karnataka, India. By using our website at cybisoftofficial.com or engaging our services, you confirm that you have read, understood, and agree to these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
CybiSoft provides the following categories of professional services:
- Cybersecurity Services: SOC monitoring, SIEM operations, VAPT, threat hunting, incident response, security audits, and alert triage
- Web Development Services: Business websites, custom web applications, UI/UX design, landing pages, e-commerce solutions, and portfolio websites
- Digital Marketing Services: SEO, paid advertising, lead generation, growth strategy, and brand visibility
- Social Media Management: Content planning, account management, campaign strategy, and engagement optimisation
The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Project Agreement or Statement of Work (SOW) signed by both parties.
3. Service Agreements & Proposals
3.1 Proposals
All service proposals are valid for 30 days from the date of issue unless otherwise stated. Proposals do not constitute a binding contract until signed by both parties and the initial payment is received.
3.2 Project Agreement
Each project will be governed by a specific Project Agreement or SOW that outlines: scope of work, deliverables, timeline, payment schedule, revision rounds, and acceptance criteria. In the event of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail for that specific engagement.
3.3 Changes to Scope
Any changes to the agreed scope of work must be requested in writing and will be subject to a formal change order process. Additional work outside the original scope will be quoted separately and requires written approval before commencement.
4. Payment Terms
4.1 Payment Schedule
Standard payment terms for project-based work are:
- 50% advance payment upon signing the Project Agreement
- 25% upon milestone completion (as defined in the SOW)
- 25% upon final delivery and client approval
For ongoing retainer services (SOC monitoring, social media management, digital marketing), payment is due in advance on the first day of each billing cycle.
4.2 Accepted Payment Methods
We accept payment via bank transfer (NEFT/RTGS/IMPS), UPI, and international wire transfer for overseas clients. All prices are in Indian Rupees (INR) unless otherwise specified in the Project Agreement.
4.3 Taxes
All prices are exclusive of Goods and Services Tax (GST) at 18% unless explicitly stated otherwise. GST will be added to all invoices. International clients outside India may be exempt from GST subject to applicable regulations.
4.4 Late Payments
Invoices are due within 7 days of issuance unless otherwise agreed. Late payments will incur an interest charge of 2% per month on the outstanding amount. CybiSoft reserves the right to suspend services for overdue accounts exceeding 14 days.
5. Intellectual Property Rights
5.1 Client Ownership
Upon receipt of full and final payment, all custom work product created specifically for the client (including website code, designs, and written content) shall become the exclusive property of the client. CybiSoft retains no ongoing rights to such materials.
5.2 CybiSoft Retained Rights
CybiSoft retains ownership of:
- All pre-existing intellectual property, tools, frameworks, and methodologies used in service delivery
- Generic code libraries, templates, and components that are reusable across projects
- Security tools, scripts, and proprietary methodologies developed independently
5.3 Portfolio Rights
Unless the client explicitly requests otherwise in writing, CybiSoft reserves the right to display completed work in our portfolio, case studies, and marketing materials. Confidential or sensitive business information will never be disclosed without express written permission.
5.4 Third-Party Components
Where third-party software, plugins, or assets are incorporated into deliverables, the client is responsible for obtaining and maintaining appropriate licences for continued use.
6. Confidentiality & NDA
CybiSoft treats all client information with the highest level of confidentiality. For cybersecurity engagements and any project involving sensitive business data, a Non-Disclosure Agreement (NDA) will be signed prior to commencement of work.
Both parties agree to:
- Keep all confidential information strictly confidential
- Not disclose confidential information to any third party without prior written consent
- Use confidential information only for the purposes of the engagement
- Promptly notify the other party of any unauthorised disclosure
Confidentiality obligations survive termination of the service agreement for a period of 3 years.
7. Warranties & Representations
7.1 CybiSoft Warrants That:
- Services will be performed professionally by qualified personnel
- Deliverables will substantially conform to agreed specifications
- We hold appropriate rights to all tools and materials used in service delivery
- We will comply with applicable laws and regulations
7.2 Client Warrants That:
- You have the legal authority to engage CybiSoft for the requested services
- All materials provided to CybiSoft do not infringe any third-party rights
- You will provide timely feedback, approvals, and required access to enable service delivery
8. Limitation of Liability
Important: Please read this section carefully as it limits CybiSoft's liability to you.
To the maximum extent permitted by applicable law, CybiSoft's total liability for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to CybiSoft in the 3 months preceding the claim.
CybiSoft shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from client-provided materials or third-party services
- Security incidents resulting from failure to implement our recommendations
- Force majeure events beyond our reasonable control
9. Termination
9.1 Termination by Client
You may terminate an ongoing service agreement by providing 30 days written notice. Fees for work completed up to the termination date are non-refundable. Please review our Refund Policy for details on applicable refunds.
9.2 Termination by CybiSoft
CybiSoft may terminate a service agreement immediately upon written notice if:
- You fail to make payment within 14 days of the due date
- You are in material breach of these Terms and fail to remedy the breach within 7 days of written notice
- You engage in illegal activities or request services that would require us to act unlawfully
- You provide materially false information in connection with the engagement
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, specifically the laws of the State of Karnataka. Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties.
If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Belgaum, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.
11. Website Use
You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Attempt to gain unauthorised access to any part of the website or its systems
- Use automated tools to scrape or harvest data from the website
- Transmit any malicious code, viruses, or harmful data
- Use the website to engage in fraudulent or deceptive practices
12. Amendments
CybiSoft reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and, where appropriate, by direct communication. Continued use of our services after such changes constitutes acceptance of the updated Terms.
